Music Terms and Conditions

 

Effective Date: Signed contract date

 

These Terms and Conditions ("Agreement") govern the use, distribution, and licensing of the music of choice provided by [Avery woods] ("Artist Ace King AKA," "Licensor,  to you ("Licensee," "You," or "User"). By downloading, streaming, or using the Music, you agree to be bound by these Terms and Conditions.

 

1. Grant of License

 

The Music is licensed to you, not sold.

 

You are granted a non-exclusive, non-transferable, revocable license to use the Music for personal, commercial, or other specified uses as outlined in this Agreement. Unless otherwise agreed upon.

 

 

2. Usage Rights

 

You may use the Music for the following purposes:

 

Personal listening.

 

Commercial use (e.g., in videos, presentations, advertisements) [if allowed].

 

For any specified use in writing, broadcasting, or public performance [if applicable].

 

 

 

 

 

3. Restrictions

 

You may not unless otherwise agreed upon:

 

 

Resell, redistribute, or sublicense the Music in any form.

 

Use the Music in a way that competes with the Artist’s original work (e.g., selling it or including it in a product for sale).

 

Modify or remix the Music without prior written consent.

 

Use the Music for unlawful or illegal activities.

 

 

4. Ownership

 

The Music remains the intellectual property of the Artist (Ace King AKA).

 

You do not own the Music, only the rights to use it under the terms set out in this Agreement.

 

 

5. Payment and Royalties

 

The Music is provided under the following licensing fee structure: [Licensor  Avery Woods and Licensee agreed upon pricing structure, if applicable].

 

Payments made for licensing the Music are non-refundable, except where required by law.

 

 

6. Credit and Attribution

 

For non-exclusive licenses, you must provide appropriate credit to the Artist, unless otherwise agreed.

 

The credit should read: “Music by [Avery Woods or Ace King AKA LLC or Ace King AKA or as otherwise specified.

 

 

7. Termination

 

The Artist reserves the right to terminate this Agreement if you violate any of its terms.

 

Upon termination, you must immediately cease using the Music and destroy any copies.

 

 

8. Limitation of Liability

 

The Artist is not responsible for any damages, losses, or other consequences arising from the use of the Music.

 

 

9. Indemnity

 

You agree to indemnify and hold harmless the Artist from any legal claims, damages, or losses that arise from your use of the Music.

 

 

10. Modifications

 

The Artist reserves the right to modify or amend these Terms and Conditions at any time.

 

You will be notified of any significant changes via [email/website].

 

 

11. Governing Law

 

This Agreement shall be governed by and construed in accordance with the laws of 

The United States And the state of Ohio.

 

12. Dispute Resolution

 

Any disputes related to this Agreement will be resolved through [arbitration/mediation], or as otherwise specified.
